The Liberty County Historical Society was founded by a group of folks who realized that the county’s rich history was in danger of being lost. They knew that it’s important to preserve the past in order to plan for the future, so they set out to collect and document all sorts of historical items, from artifacts and documents to memorabilia.
Liberty County is located in the state of Georgia. It was founded on February 5, 1777, and the county seat has been moved around a few times over the years. It’s now in Hinesville, which is also the county’s most populous city.
The Liberty County Historical Society is dedicated to preserving, documenting, and recording the history and heritage of the county. They do this through a variety of programs and initiatives, such as collecting artifacts, conducting research, and publishing books and articles. They also offer educational programs for the public, so that everyone can learn about the county’s rich past.
BY-LAWS OF THE LIBERTY COUNTY HISTORICAL SOCIETY, INC.
ARTICLE 1
NAME
The name of this organization shall be the Liberty County Historical Society, INC. Also referred to as the Society, in the below document.
ARTICLE II
PURPOSE
The purpose of this organization shall be to cultivate an interest in the history of Liberty County; to make the general public aware of the historical role of Liberty County; to compile, write, and publish a history of Liberty County; to seek out points and places of historical interest in Liberty County and to restore and preserve these places where possible; to acquire, hold and preserve historic sites and buildings; and to serve the citizens of Liberty County and the State of Georgia as a non-profit educational and historical association.
Mission Statement: Shall be to cultivate the history of Liberty County; to make the general public aware of the historical role of Liberty County; to compile, write, and publish a history of Liberty County; to seek out points and places of historical interest; when possible, to hold and preserve; to serves as a non-profit educational organization.
ARTICLE III
MEMBERSHIP
Any person who subscribes to the purpose of this Society and formally requests to be a member shall become a member as provided in the By-Laws of this Society may become a member of the Liberty County Historical Society.
ARTICLE IV
OFFICERS
SECTION I. The officers of this Society shall be a President, a Vice-President, a Secretary, and a Treasurer.
SECTION II. The officers shall be elected bi-annually at the winter meeting of the Society and shall continue in office for two (2) years or until their successors are elected. As adopted November 1970 – “The Officers shall be elected at the October meeting of the Society and shall continue in office for two years or until their successors are elected,”
SECTION III. In case a vacancy occurs in any office it shall be filled by majority vote of the Society at the next regular meeting after which the vacancy occurs, and the person so elected shall serve only until the end of the unexpired term.
ARTICLE V
BOARD OF DIRECTORS
SECTION I. The governing body of the Liberty County Historical Society shall be a Board of Directors, consisting of the elected officers of the Society together with the Chairman of such standing committees as shall be authorized by the By-Laws of this Society.
SECTION II. The Board of Directors shall have full authority to act for the Society between regular meetings of the full membership, and upon the Board of Directors shall rest the duties and responsibilities of the Society except as otherwise provided in the By-Laws; provided, that at any time the Society may limit the powers of the Board of Directors by a majority vote of the Society.
SECTION III. The Board of Directors shall authorize the spending of money from the treasury, and a full report of such expenditure, shall be made by the Treasurer to the Society.
SECTION IV. The Board of Directors shall meet at least quarterly and at the call of the President, or upon the call of a majority of the Board of Directors. It shall be the duty of the Board to act upon matters of business which are to be presented at the regular meeting of the Society and to approve all appointments made by the President.
ARTICLE VI
MEETINGS
Article VI – General business meetings will be in January, April, July, and October in each year at a place to be determined by the Board of Directors. Members of the Society shall be notified by the Secretary of the time and place of the general meeting prior to the meeting. The Board of Directors is given the authority to change the day of the meeting if is deemed necessary. Special meetings of the Society may be called by the Board of Directors when deemed necessary.”
ARTICLE VII
QUORUM
A quorum for the general meeting of the Society shall consist of the Members in attendance.
A quorum of the Board of Directors shall consist of a majority of the membership of the Board. In accordance to Robert’s Rules of Order, Revised, if a quorum is not present, the Board of Directors can take action.
ARTICLE VIII
DUES
SECTION I. Dues of Members of the Society shall be $0.00, at this time. The Board of Directors retains the right to change this amount, if the finances of the Society warrant a change as a quorum of the Board of Directors, so desires.
ARTICLE IX
NOMINATION AND ELECTION OF OFFICERS
SECTION I. Prior to the winter meeting, the President with the approval of the Board of Directors, shall appoint a Nominating Committee composed of a chairman and two other members. This committee shall prepare the slate of officers for presentation to the membership of the Society at the winter meeting. Nominations may also be made from the floor.
At the July meeting, the President shall appoint a Nominating Committee composed of a Chairman and two other members. This Committee shall prepare a slate of Officers for presentation to the membership of the society at the October meeting, at which time the election will be conducted. Nominations may also be made from the floor.”
SECTION II. A majority of all votes cast shall be necessary to constitute an election. Terms of office shall begin at the close of the meeting at which the officer shall be elected and shall be for two (2) years.
ARTICLE X
DUTIES OF OFFICERS
SECTION I. The duties of the President shall be to preside at all meeting of the Society; to call special meetings of the Society and the Board of Directors; to act as the representative of the Society; to sign all contracts and other documents requiring the Society’s official approval; to serve ex-officio as a member of all committees; and to perform such other duties as ordinarily pertain to the office of President.
SECTION II. The Vice-President shall act as an assistant to the President and shall assume all duties of the President in case of the absence or resignation of the President. The Vice-President shall serve as Program Chairman.
SECTION III. The Secretary shall keep a careful record of all meetings of the Society and of the Board of Directors and shall be in charge of all correspondence and sending out notices of meetings. The Secretary shall prepare and keep on file a correct list of the name and addresses of the members of the Society, a list of all officers and members of the Board of Directors, and members of committees which shall be appointed from time to time.
SECTION IV. The Treasurer shall be responsible for all monies and funds and shall deposit them in The Heritage Bank or such other depository as may be authorized by the President or the Board of Directors. The Treasurer shall keep a record of all receipts and disbursements and shall make a written report to the Society at the regular quarterly and at other times deemed necessary.
Officers of the Society shall be authorized to sign checks, dual signatures required for amount greater than Five Hundred dollars ($500.00)
ARTICLE XI
RECORDS
All officers shall keep accurate records of their offices and transfer such records and funds to the newly elected officers within thirty days after the close of the meeting in which new officers were elected.
ARTICLE XII
COMMITTEES
There shall be the following Standing Committees, appointed by the President at the first regular quarterly meeting of his term of office: Constitution and By-Laws Committee, Membership Committee, and Publications Committee.
ARTICLE XIII
RULES OF ORDER
The latest edition of “Robert’s Rules of Order, Newly Revised”, shall be the authority on all questions of procedures not specifically stated in these By-Laws. A member of the Society who is familiar with the rules of Parliamentary procedure shall be appointed by the President as Parliamentarian of the Society.
ARTICLE XLV
AMENDEMENTS
The By-Laws may be amended by a two-thirds vote of those present at a regular meeting of the Society provided a quorum is present and provided that notice of the proposed changes has been given at the previous regular meeting or the membership notified in writing or email.
